1. Acceptance of Terms

By accessing or using PersonaCart (personacart.com), a product of ByteSigma Technologies Private Limited (Pune, Maharashtra, India), you agree to be bound by these Terms of Service. If you do not agree, you must not use the platform.

2. Eligibility

You must be at least 18 years of age to create an account or use PersonaCart. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately at [email protected] of any unauthorized use of your account
  • Providing accurate and up-to-date registration information

4. Use of the Platform

You may use PersonaCart only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the platform for any illegal purpose or in violation of any applicable laws or regulations
  • Infringe the intellectual property or privacy rights of any third party
  • Transmit harmful code, malware, or disruptive content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Engage in fraudulent, deceptive, or misleading conduct
  • Harass, abuse, or harm other users

5. Creator Obligations

If you operate a creator store on PersonaCart, you additionally agree to:

  • Provide accurate, complete, and non-misleading product descriptions and pricing
  • Fulfill orders in a timely manner and as described
  • Not list or sell prohibited items (see Section 6)
  • Comply with all applicable laws, including consumer protection and tax laws
  • Act as an independent data controller for your buyers' personal data and comply with applicable data protection laws, including the India DPDP Act 2023 and GDPR where applicable
  • Maintain your own refund and cancellation policy and communicate it clearly to buyers

6. Prohibited Items and Content

The following are strictly prohibited on PersonaCart:

  • Illegal goods or services of any kind
  • Counterfeit, pirated, or trademark-infringing products
  • Adult content or sexually explicit material without legally compliant age verification
  • Content facilitating financial fraud, money laundering, or pyramid schemes
  • Malware, spyware, ransomware, or any malicious software
  • Products or services that promote violence, terrorism, or hatred
  • Any item whose sale is prohibited under Indian law or the laws of the buyer's jurisdiction

7. Platform Fees

Subscription and transaction fees are charged as per our current pricing page at personacart.com/pricing. We reserve the right to update our pricing with reasonable notice. Continued use of the platform after a price change constitutes acceptance of the new pricing.

8. Intellectual Property

PersonaCart and its original content, features, and functionality are owned by ByteSigma Technologies Private Limited and protected by copyright, trademark, and other applicable intellectual property laws. You retain ownership of content you upload to your store; by uploading it you grant us a limited licence to host, display, and deliver it through the platform.

9. Termination

PersonaCart may suspend or terminate your account:

  • With 7 days' written notice for material violations of these Terms
  • Immediately and without notice for severe violations, including but not limited to fraud, listing prohibited items, illegal activity, or serious security breaches

Upon termination, your right to access the platform ceases. Data deletion will be handled in accordance with our Privacy Policy.

10. Disclaimer of Warranties

PersonaCart is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ByteSigma Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total subscription fees you paid to PersonaCart in the six (6) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ByteSigma Technologies Private Limited, its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the platform; (b) the products or services you offer through your store; (c) your violation of these Terms; or (d) your violation of any third party's rights.

13. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the platform:

  1. Good faith negotiation: The parties shall attempt to resolve the dispute by good faith negotiation for a period of 30 days from the date one party notifies the other in writing of the dispute.
  2. Binding arbitration: If the dispute is not resolved within 30 days, it shall be finally resolved by binding arbitration in Pune, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996 (India). The language of arbitration shall be English.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes that are not subject to arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification at least 7 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
